1. Agreement
These Terms of Use (“Terms”) govern access to and use of ClipAlytics at clipalytics.com, related apps, browser extensions, and APIs (the “Service”). The Service is operated by AE Labs Inc, a Delaware corporation (“AE Labs Inc,” “we,” “us”). By creating an account, clicking to accept, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18 years old and able to form a binding contract. ClipAlytics is a business analytics tool for adult creator marketplaces. You are responsible for complying with the age, content, and tax rules that apply to your own storefronts.
3. The Service
ClipAlytics provides creator-market analytics from public marketplace observations and, if you connect them, your own catalogue and sales facts. Public maps do not require a marketplace password. Paid plans add overlays, recommendations, and related features described on the pricing page. We may change, suspend, or discontinue features. Scores and rankings are directional research signals, not predictions of revenue, guaranteed sales, or investment advice.
4. Accounts
You must provide accurate account information and keep your credentials confidential. You are responsible for activity under your account. Notify us at hello@clipalytics.com if you believe the account is compromised. We may refuse, suspend, or close accounts that violate these Terms or that we reasonably believe create legal, security, or operational risk.
5. Your data and connections
You retain rights in the store URLs, catalogues, receipts, and other facts you submit. You grant AE Labs Inc a limited license to host, process, and display that material as needed to operate the Service, including opt-in benchmarks described in the Privacy Policy. You represent that you have the right to send us that material and that it does not include marketplace passwords or session cookies. Hosted third-party connections (for example a subscription-storefront provider) are authenticated on that provider’s pages; we store a connection identifier and numeric events, not the storefront password.
6. Subscriptions and payment
Paid plans (Starter and Pro) include a 30-day free trial with no credit card. Fees, plan names, and included features are shown on the pricing page. Card billing through Stripe is not collected at signup and will be added later. When paid billing is live, subscriptions renew until you cancel. You can cancel through the billing portal or by emailing hello@clipalytics.com; cancellation stops future renewals and does not refund the current period except where required by law. Unpaid invoices may result in suspension. Taxes may be added where applicable.
7. Acceptable use
You may not: (a) attempt to obtain another person’s marketplace password or session; (b) probe, scrape, or overload the Service beyond ordinary use; (c) reverse engineer the Service except as allowed by law; (d) upload malware or unlawful content; (e) misrepresent your identity or affiliation; (f) use the Service to harass, dox, or exploit anyone; or (g) resell, scrape, or republish our market reports or scores as a competing data product without written permission. Public marketplace pages belong to those marketplaces. Our methodology explains what the public numbers do and do not mean.
8. Intellectual property
AE Labs Inc and its licensors own ClipAlytics, including software, design, trademarks, market maps, scores, and documentation. These Terms do not transfer any ownership to you. Feedback you send may be used to improve the Service without obligation to you.
9. Third-party services
The Service may link to or rely on third parties, including Stripe, sign-in providers, email delivery, hosted storefront connections, and public marketplaces. Those services have their own terms. We are not responsible for third-party sites, outages, or changes to public marketplace pages.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, AE LABS INC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that market data is complete, current, or error-free, or that using the Service will increase your sales.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, AE LABS INC AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM, OR ONE HUNDRED U.S. DOLLARS IF YOU HAVE NOT PAID US. Some jurisdictions do not allow certain limits; in those places the limit applies to the maximum extent allowed.
12. Indemnity
You will defend and indemnify AE Labs Inc against claims, damages, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your content, or your breach of these Terms, except to the extent caused by our willful misconduct.
13. Termination
You may stop using the Service and request account deletion as described in the Privacy Policy. We may suspend or terminate access immediately for a material breach or legal risk. Sections that by their nature should survive (including intellectual property, disclaimers, limits of liability, indemnity, and governing law) survive termination.
14. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Exclusive venue for disputes that are not resolved informally lies in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.
15. Changes
We may update these Terms from time to time. The effective date above will change when we do. Material changes will be posted on this page. Continued use after the new date constitutes acceptance of the updated Terms.
